Welcome to TeamMap. These Terms of Service ("Terms") govern your access to and use of TeamMap's mobile and web applications, services, and any related features (collectively, the "Service"). By accessing or using the Service, you agree to be bound by these Terms. If you do not agree to these Terms, do not use the Service.

By creating an account, accessing, or using TeamMap, you acknowledge that you have read, understood, and agree to be bound by these Terms and our Privacy Policy. If you are using the Service on behalf of an organization, you represent and warrant that you have the authority to bind that organization to these Terms.

TeamMap provides team collaboration, real-time location tracking, task management, communication, and related features designed for team coordination. The Service includes but is not limited to:

• Real-time location tracking and geofencing
• Task and shift management
• Team communication (chat, channels, voice/walkie-talkie)
• Form creation and submissions
• Event and route management
• Inventory and asset tracking
• NFC tag integration

To use certain features of the Service, you must register for an account. You agree to:

• Provide accurate, current, and complete information during registration
• Maintain and update your information to keep it accurate and current
• Maintain the security of your account credentials
• Accept responsibility for all activities that occur under your account
• Notify us immediately of any unauthorized use of your account

You agree not to:

• Violate any applicable laws, regulations, or third-party rights
• Use the Service for any unlawful, fraudulent, or malicious purpose
• Interfere with or disrupt the Service or servers/networks connected to the Service
• Attempt to gain unauthorized access to any portion of the Service
• Upload or transmit viruses, malware, or any harmful code
• Harass, abuse, or harm other users
• Impersonate any person or entity
• Collect or harvest user information without consent
• Use the Service to send spam or unsolicited communications

The Service collects and uses location data as described in our Privacy Policy. By using the Service, you consent to the collection, use, and sharing of your location data with your organization and authorized team members. You may disable location services at any time through your device settings, though this may limit Service functionality.

Organization administrators have the ability to:

• View location data and activity of team members
• Manage team member accounts and permissions
• Access communications and data shared within the organization
• Configure features and settings for the organization
• Export organizational data

By joining an organization, you acknowledge and consent to these administrator capabilities.

7.1 Your Content

You retain ownership of any content you submit, post, or display through the Service ("User Content"). By submitting User Content, you grant TeamMap a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, and distribute your User Content solely for the purpose of providing and improving the Service.

7.2 TeamMap's Intellectual Property

The Service and its original content, features, and functionality are owned by Rammoozz Tech, LLC and are protected by international copyright, trademark, patent, trade secret, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the Service without our express written permission.

While we implement reasonable security measures to protect your data, no system is completely secure. We recommend that you maintain your own backups of critical data. TeamMap is not responsible for data loss resulting from unauthorized access, technical failures, or other circumstances beyond our reasonable control.

Certain features of the Service may require payment. By purchasing a subscription or paid feature:

• You agree to pay all applicable fees as described at the time of purchase
• Subscriptions automatically renew unless cancelled before the renewal date
• Fees are non-refundable except as required by law or as expressly stated
• We reserve the right to modify pricing with reasonable notice

The Service may integrate with or contain links to third-party services, including but not limited to:

• Firebase (authentication, database, cloud messaging)
• Google Maps (mapping and location services)
• Apple Sign-In (authentication)
• Metered.ca (WebRTC infrastructure for voice features)

Your use of third-party services is subject to their respective terms and privacy policies. TeamMap is not responsible for the practices or content of third-party services.

11.1 Service "As Is"

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. TeamMap does not warrant that the Service will be uninterrupted, error-free, or completely secure.

11.2 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, RAMMOOZZ TECH, LLC AND ITS AFFILIATES, OFFICERS, EMPLOYEES, AGENTS, AND LICENSORS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS OR REVENUES, WHETHER INCURRED DIRECTLY OR INDIRECTLY, OR ANY LOSS OF DATA, USE, GOODWILL, OR OTHER INTANGIBLE LOSSES RESULTING FROM:

• Your use or inability to use the Service
• Any unauthorized access to or use of our servers and/or any personal information stored therein
• Any interruption or cessation of transmission to or from the Service
• Any bugs, viruses, or other harmful code transmitted through the Service by any third party
• Any errors or omissions in any content or for any loss or damage incurred as a result of the use of any content posted, emailed, transmitted, or otherwise made available through the Service

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL DAMAGES, LOSSES, AND CAUSES OF ACTION EXCEED THE AMOUNT YOU HAVE PAID TO TEAMMAP IN THE TWELVE (12) MONTHS PRIOR TO THE CLAIM, OR ONE HUNDRED DOLLARS ($100), WHICHEVER IS GREATER.

You agree to indemnify, defend, and hold harmless Rammoozz Tech, LLC, its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, damages, obligations, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

• Your use of the Service
• Your violation of these Terms
• Your violation of any third-party rights, including intellectual property rights
• Any User Content you submit or share through the Service

We reserve the right to suspend or terminate your access to the Service at any time, with or without cause, with or without notice, effective immediately. Upon termination:

• Your right to use the Service will immediately cease
• We may delete your account and User Content
• You remain liable for all obligations incurred prior to termination
• Provisions that by their nature should survive termination shall survive, including but not limited to ownership provisions, warranty disclaimers, and limitations of liability

You may terminate your account at any time by contacting us at support@teammap.co. Upon your request, we will delete your personal data in accordance with applicable law and our data retention policies.

We reserve the right to modify these Terms at any time. If we make material changes, we will notify you through the Service or via email. Your continued use of the Service after such modifications constitutes your acceptance of the updated Terms. If you do not agree to the modified Terms, you must stop using the Service.

These Terms shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved through binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

If any provision of these Terms is found to be unenforceable or invalid, that provision will be limited or eliminated to the minimum extent necessary so that these Terms will otherwise remain in full force and effect.

These Terms, together with our Privacy Policy, constitute the entire agreement between you and TeamMap regarding the Service and supersede all prior agreements and understandings, whether written or oral.
